Bookeaz Vendor Agreement
Effective Date: The date on which the Seller completes digital signup and accepts this Agreement via Bookeaz.com’s Seller Portal.
Parties: Bookeaz.com (“Platform”) and the individual or entity completing Seller registration (“Seller”)
By digitally signing up as a Seller on Bookeaz.com, the Seller agrees to be bound by this Agreement, Bookeaz’s Terms & Conditions and Privacy Policy, and any future amendments.
1. Purpose & Scope
This Agreement governs the onboarding, listing, fulfillment, and settlement of products sold by Seller on Bookeaz.com. It ensures operational clarity, legal compliance, and trust between Bookeaz, Sellers, and Customers.
2. Seller Onboarding & Eligibility
- Seller must provide accurate business details, tax ID, and banking information.
- Bookeaz reserves the right to verify identity and reject onboarding if eligibility criteria are not met.
- Seller agrees to comply with all applicable local, state, and federal laws.
3. Listings & Fulfillment
- Seller is responsible for maintaining accurate product listings, pricing, and availability.
- Fulfillment must occur within the stated dispatch window. Delays must be communicated via the Seller Portal.
- Bookeaz may suspend listings for repeated fulfillment failures or customer complaints.
Pickup Location Assignment:
Seller must designate a physical pickup location (address, contact name, phone, hours) for each listing or SKU used by Bookeaz’s delivery partner. Updates must be submitted at least 4 hours in advance.
Order Readiness SLA

Priority Orders- including those with shipping protection or tagged as priority:
Seller must ensure the order is packed and ready for pickup within 1 hour of receiving the order notification via the Seller Portal. -
Standard Orders:
Seller must prepare and pack the order as promptly as possible, ensuring timely pickup and delivery in accordance with platform expectations.
2 Hour Delivery Commitment:
For expedited/local delivery, Seller agrees to support delivery within 2 hours of order placement (subject to ZIP-based routing and availability).
Failure to Meet SLAs:
If Seller fails to meet readiness or delivery SLAs, Bookeaz may:
- Cancel the order and issue a refund at Seller’s expense
- Charge a noncompliance fee
- Suspend expedited/local delivery eligibility
Exceptions:
SLAs do not apply in cases of force majeure, verified inventory discrepancies, or unavailable ZIP-based delivery windows.
Operational Controls:
Bookeaz may require timestamped proof of pickup readiness. Repeated SLA failures are considered policy violations under Section 7.

Weight & Quantity Compliance
- Seller must ensure that the weight and quantity of each product fulfilled matches the customer’s orderas placed on Bookeaz.com.
- Underdelivery is permitted(i.e., lower weight or quantity), provided it does not materially affect product usability or violate category-specific standards.
- Overdelivery is strictly prohibited.If a product is issued with a higher weight or quantity than ordered:
- Bookeaz will apply the lowest per-unit ratebetween the listed price and the actual receipt uploaded by the Seller.
- Seller will not be entitled to charge more than the customer’s original order value.
4. Payments & Settlements
- Payouts are processed weekly via [ACH/credit card/virtual card/PayPal] based on completed orders.
- Bookeaz deducts platform fees, refunds, and chargebacks before settlement.
- Seller must maintain an active payout method and resolve banking errors within 3 business days.
Weekly Settlement Schedule:
- Settlement Day:Wednesday
- Settlement Period:Monday 12:00 AM – Sunday 11:59 PM (CT)
- Payout Processing:Wednesday; funds expected by Thursday–Friday
Payout Methods Supported:
- ACH (1–2 business days)
- Credit Card–Funded Virtual Card (instant/same-day)
- Manual Reconciliation (within 5 business days)
Operational Safeguards:
- Refund Buffer: Orders with refund requests before settlement are held
- Dispute Hold: Orders under dispute are excluded until resolved
- Bookeaz reserves the right to compare the product price listed on the website with the actual rate reflected in the receipt issued and uploaded by the Seller. In case of any discrepancy, the lower of the two rates shall be considered final for settlement and customer billing purposes.
5. Refunds, Returns & Disputes
- Seller agrees to honor Bookeaz’s standardized refund and return policy unless a custom policy is approved.
- Seller must respond to customer disputes within 1business days.
- Bookeaz may issue refunds on Seller’s behalf if no timely response is received.
Late Delivery Refunds:
Refunds apply only if:
- Customer selected fast delivery at checkout
- Claim is submitted within 48 hours of delivery attempt

Bookeaz confirms delivery occurred after the promised window
Refunds due to Seller delay are issued at Seller’s expense. Sellers may contest within 2 business days.
6. Privacy & Data Handling
- Seller must not store, share, or misuse customer PII (Personally Identifiable Information).
- All communications must occur via Bookeaz’s session-aware dashboard.
- Bookeaz will mask customer contact details unless explicitly authorized for fulfillment.
7. Compliance, Termination & Liability
- Bookeaz may terminate this Agreement for breach, fraud, or repeated violations.
- Seller may terminate with 14 days’ notice, subject to fulfillment of pending orders and settlements.
- All disputes are governed by the laws of the State of Texas.
Product Liability & Damages:
Seller acknowledges that Bookeaz is a marketplace platform and does not manufacture, store, or own inventory. Seller bears full responsibility for product safety, legality, labeling, and compliance.
Seller shall be solely liable for any claims, damages, injuries, or threats to human life arising from products sold via Bookeaz.
Seller agrees to indemnify and hold harmless Bookeaz from any legal claims, losses, or expenses (including attorney fees) related to product defects, customer harm, or regulatory violations.
Bookeaz recommends that Sellers maintain product liability insurance.
8. Branding & Communication
- Seller agrees to maintain a professional tone in all customer interactions.
- Bookeaz may edit or remove listings that violate branding guidelines or contain misleading claims.
9. Amendments & Notices
- Bookeaz may update this Agreement with 30 days’ notice. Continued use constitutes acceptance.
- Notices will be sent via the Seller Portal or registered email.
